The UAE Cabinet of Ministers has issued Decision No. (98) of 2024, announcing significant amendments to the Economic Substance Regulations (ESR), initially governed by Cabinet Decision No. (57) of 2020.
These updates mark a shift in the regulatory landscape, limiting the applicability of ESR to financial years ending on or before 31 December 2022, effectively cancelling ESR obligations from 2023 onward.
Although the official English-translated version of the decision has yet to be released, based on our review of the document, the key amendments include the following:
Limitation of ESR Applicability
The scope of the Economic Substance Regulations (ESR) has been revised, limiting its applicability to the financial year ending on 31 December 2022. This means that entities are no longer required to comply with ESR obligations for financial periods starting from 1 January 2023 onward, effectively cancelling the need for ESR reporting and compliance after that date. This update reflects a significant shift in regulatory requirements and provides significant relief by reducing the compliance burden for businesses post-2022.
Waiver of Administrative Penalties for Certain Entities
Businesses and entities previously exempt from ESR obligations for the period ending 31 December 2022 are now granted a waiver for any administrative penalties imposed during that period. This is a significant relief for companies that have received penalties despite their exempt status.
Post-2022 Penalty Waivers
Any penalties imposed after 31 December 2022 will also be waived, provided that the affected entities fulfill all relevant national compliance obligations. This policy offers businesses a hopeful second chance to avoid penalties by ensuring they meet all compliance requirements moving forward.
